Terms of Use

Terms for using Flatproof, including beta service conditions, accounts, billing, acceptable use, AI features, support, and availability.

1. Agreement

These Terms of Use govern your access to and use of Flatproof, including the website, hosted application, share links, proofing tools, integrations, and related services. The service is operated by Miguel Jose Leal da Silva, autonomo registered in Spain, VAT ESZ2417972X.

By creating an account, opening a review link, or using the service, you agree to these terms. If you use Flatproof for a company, studio, client, or other organization, you confirm that you have authority to bind that organization.

2. What Flatproof Does

Flatproof is client proofing software for creative work. It lets teams upload or import files, add live website and Figma review surfaces, share review links, collect comments, manage versions, request approvals, and use optional AI-assisted review tools.

Flatproof is not a permanent archive, backup service, legal review service, or professional advice service. You are responsible for keeping your own backups of important client work and source files.

3. Public Beta Notice

Flatproof is currently a public beta product. The service is provided "as-is" and "as available", with reasonable support but without warranties of uninterrupted operation, data preservation, or fitness for a particular workflow.

  • Features, limits, APIs, integrations, and data formats may change during beta.
  • Some features may be incomplete, experimental, interrupted, or removed.
  • We may migrate, repair, or reset beta data when needed to improve the product.
  • You should keep independent copies of assets, approvals, contracts, and client deliverables.

4. Accounts and Security

You may need an account to create workspaces, upload proofs, invite collaborators, manage billing, or use paid features. You are responsible for keeping your sign-in methods secure and for all activity under your account.

Contact [email protected] promptly if you suspect unauthorized access. You must be at least 16 years old, or the minimum age required in your jurisdiction, to use Flatproof.

5. Workspaces, Reviewers, and Share Links

You are responsible for the files, comments, reviewer names, links, and other content uploaded to or created in your workspace. You retain ownership of your content. We receive the limited rights needed to host, display, process, convert, transmit, and back up that content so the service can work.

Share links may expose proofs to anyone who has the link unless you enable available access controls. Do not share confidential, regulated, or sensitive material through public links unless your own security and compliance obligations allow it.

6. Billing, Plans, and Refunds

Paid plans are billed through Paddle, our Merchant of Record. Paddle handles payment processing, invoices, tax calculation, tax collection, and payment data. Paddle's own terms and privacy notices apply to payment processing.

Plan prices, storage limits, upload limits, AI review limits, and included features are shown on the Flatproof pricing page and may change with reasonable notice. You can cancel paid subscriptions before renewal. Refunds are described in the Refund Policy.

7. Acceptable Use

You agree not to use Flatproof to:

  • Violate laws, regulations, contracts, intellectual property rights, privacy rights, or client obligations.
  • Upload malware, exploit code, illegal content, or material you do not have the right to use.
  • Harass, threaten, defame, or harm another person or organization.
  • Interfere with, overload, scan, scrape, or reverse-engineer the service beyond normal product use.
  • Circumvent authentication, billing, rate limits, storage limits, access controls, or security measures.
  • Resell hosted access to Flatproof without written permission.

We may suspend or terminate access if we believe these terms have been violated or the service is at risk.

8. AI-Assisted Features

Flatproof may offer AI-assisted review, summary, or drafting features. AI output can be incomplete, inaccurate, biased, or inappropriate. You are responsible for reviewing AI output before relying on it or sending it to a client.

If you use managed AI features, relevant text, image, document, or review context may be processed by third-party AI providers or relay services. If you configure your own AI key, your data may be sent directly to the provider you choose under that provider's terms.

9. Integrations

Flatproof may integrate with Google Drive, Figma, Paddle, email providers, storage providers, and AI providers. Third-party services may change or interrupt their APIs, pricing, permissions, or terms. We are not responsible for failures caused by third-party services or by credentials, files, settings, or permissions outside Flatproof.

10. Support and Availability

During beta, support is provided on a reasonable, best-effort basis by email at [email protected]. Support may include bug triage, account help, billing guidance, and reasonable help with self-hosted setup or upgrades.

For Flatproof-hosted beta services, our initial availability target is 97% monthly uptime, excluding scheduled maintenance, emergency maintenance, beta incidents, customer-side network or browser issues, third-party provider outages, payment provider issues, force majeure events, and misuse of the service. This is a target, not a service level agreement, warranty, or service-credit commitment unless a separate written agreement says otherwise.

For self-hosted deployments, uptime depends on the infrastructure, database, storage, network, configuration, and operational processes you control. We can provide support guidance, but we do not guarantee the availability of infrastructure that we do not operate.

11. Intellectual Property

Flatproof's software, product design, branding, documentation, and service materials belong to Flatproof or its licensors. These terms do not grant you ownership of Flatproof itself. You may not copy, modify, reverse-engineer, or create derivative works from proprietary parts of the service except where permitted by law or by a separate license.

12. Disclaimers and Liability

To the maximum extent permitted by law, Flatproof is provided without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, security, accuracy, or data preservation.

To the maximum extent permitted by law, Flatproof will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, clients, goodwill, data, content, or business opportunity. Our aggregate liability for claims relating to the service is limited to the amount you paid for Flatproof in the 12 months before the event giving rise to the claim.

13. Termination

You may stop using Flatproof at any time. We may suspend or terminate access if you violate these terms, create risk for the service, fail to pay fees, or if we discontinue the beta or a feature. After termination, your right to use the hosted service ends, but terms that by nature should survive will continue to apply.

14. Governing Law

These terms are governed by the laws of Spain, except where mandatory consumer protection law in your country requires otherwise. EU consumers retain mandatory rights granted by applicable consumer law.

15. Changes

We may update these terms as the beta evolves. Material changes will be posted on this page or communicated through the service. Continued use after changes take effect means you accept the updated terms.
